REGISTRATION OF BUSINESS PREMISES AND SOCIAL CLUBS LAW

1. Citation. This Law may be cited as the Registration of Business Premises and Social Clubs Law.

2. Interpretation. In this Law unless the context otherwise requires- "appropriate authority" means the Commissioner charged with the responsibility for Commerce and Industry; "business" includes any trade, industry or profession and any occupation carried on for profit, but does not include farming, except such types or classes of farming as the Registrar may specify as being registrable as a business, having regard to the nature, scale and presumed income of such farming business; "business name" means the name or style under which any business is carried on whether in partnership or otherwise; "business premises" means the premises on which any business is carried on whether situated within or without a building or other structure, and whether fenced or unfenced; "Chief Commercial Officer" means the Chief Commercial Officer in the Ministry of Trade, Commerce and Industry; [No. 5 of 1974.] "club" includes associations, social clubs, union (town or ethnic) and youth clubs, and group of persons with a common object, identity and non-governmental organisation operating in the State; "existing business" means any business existing in the State prior to the date of commencement of this Law; "Governor" means the Governor of the Delta State of Nigeria; "Permanent Secretary" means the Permanent Secretary, Ministry of Commerce and Industry; "personal representative" includes an executor and an administrator of a deceased individual; "prescribed" means prescribed by this Law or by regulations made thereunder; "principal representative" meads a person in the State who is ultimately responsible in the State for the affairs of the company of which he is such representative and whose head office is outside the State; "State" means the Delta State of Nigeria.

3. Business Premises Registry. There shall be in the State a Business Premises Registry with an office or offices at such place or places as the appropriate authority may from time to time direct. [No. 5 of 1974.]

4. Business premises of companies, firms and individuals to be registered. (1) Subject to this Law, there shall be registered in the manner prescribed by this Law the premises on which every company, firm or individual is carrying on any business in the State (hereinafter called the "business premises"). (2) Where a company firm, or individual whose business premises are required to be registered under this Law- [No. 5 of 1974.] (a) changes its or his business name after it has been registered; or (b) changes its or his business name after the date of commencement of this Law but before the business premises have been registered, such company, firm or individual shall- (i) in the case of (a) above, notify the Chief Commercial Officer of the change of name for alteration in the register; and (ii) in the case of (b) above, register its or his business premises under the new business name. (3) Where a company, firm or individual changes its or his business premises after they have been registered under this Law, the company, firm or individual shall notify the Chief Commercial Officer in writing of the change and the Chief Commercial Officer shall alter the register accordingly.

5. Power to exempt. The Governor may, by notice signed by him and published in the State Gazette, exempt from registration under this Law any business premises of any company, firm or individual carrying on business in the State, or any class or classes of business premises situated in the State.

6. Manner and particulars of registration. (1) Every company, firm or individual whose business premises are required to be registered under this Law, shall furnish by sending by registered post or by delivering to the Chief Commercial Officer at his office in Asaba, a statement in waiting containing particulars mentioned in Form 1, 2, or 3, respectively, in the First Schedule to this Law. [No. 5 of 1974.] (2) Where a business is carried on two or more different premises, each premises on which the business is carried on shall be registered in accordance with this Law.

7. Signing of statements. The statement required under section 6 of this Law shall be signed- (i) in the case of an individual, by him; (ii) in the case of a company, by a director or secretary or manager or principal representative thereof; and (iii) in the case of a firm, either by all the individuals who are partners, or by a director or the secretary or the principal representative, as the case may be, of each company which is a partner, or by an individual who is a partner, and in any case under paragraph (ii) or (iii) above, the signature shaft be verified by the signatory upon a declaration made by him in accordance with this Law.

8. Time for registration. An application under this Law shall be made- (a) in the case of an existing business, within twenty-eight days from the date of commencement of this Law; and (b) in any other case, within twenty-one days of the commencement of the business.

9. Extension of time for registration. The Chief Commercial Officer may, on application being made to him in that regard, extend the time for registration if he is satisfied that there are grounds in the application to justify such extension. [No. 5 of 1974.]

10. Changes in registered particulars. Whenever a change is made or occurs in any of the particulars registered in respect of any company, firm or individual, the person or persons authorised by section 7 to sign statements or particulars required by this Law to be registered in respect of the company, firm or individual shall, within fourteen days after the occurrence of such change, furnish by sending by post or delivery to the Chief Commercial Officer a statement in writing as in Form 4 of the First Schedule specifying the nature and date of the change, the statement shall be signed by him or them and, where necessary, verified in the manner as in section 7. [No. 5 of 1974. Form 4.]

11. Correction of errors. (1) The Chief Commercial Officer may on application made in Form 5 of the First Schedule, and upon the payment of the prescribed fees by a company, firm or individual, correct any error in any particulars registered by him under this Law; such application shall be signed and, where necessary verified in like manner as the statement required on registration. [No. 5 of 1974. Form 5. First Schedule.] (2) If the Chief Commercial Officer refuses an application made under subsection (1) he shall, within fourteen days of the receipt of such application, by writing notify the company, firm or individual of such refusal. (3) Any person aggrieved by the refusal of the Chief Commercial Officer to correct any error may within fourteen days from the receipt of the notification of such refusal appeal to the Permanent Secretary against the refusal and the Permanent Secretary’s decision on the matter shall be final.

12. Filing of statements and certificates of registration. (1) On receiving a statement made in pursuance of section 6 in relation to any business premises and on payment by the applicant of the fees prescribed in the Fourth Schedule, the Chief Commercial Officer shall file the said statement and shall send by post or deliver to the company, firm or individual furnishing such statement, a certificate in respect of those premises, duly signed by him. [No. 5 of 1974.] (2) The certificate shall be in the form prescribed in the Second Schedule. (3) A duplicate, or counterpart of a certificate issued under subsection (1) shall be preserved in the office of the Chief Commercial Officer. (4) The Chief Commercial Officer may, upon the request in writing by any person and upon the payment of the prescribed fees, issue to a person- (a) a certified copy of a certificate of registration, the original of which had been issued to such a person; or (b) a certified copy of any application for registration of business premises made by such person. (5) The certificate referred to in subsection (1) or a certified copy thereof shall be kept exhibited in a conspicuous position at the business premises of the company, firm or individual.

13. Certificate as evidence of registration. A certificate issued in accordance with section 12 of this Law shall be prima facie evidence that the business premises to which it relates is duly registered under this Law.

14. Register of business premises. (1) The Chief Commercial Officer shall keep a register of all business premises registered under this Law. (2) The register shall contain the date of registration, the description and address of the business premises, the name of the company, firm or individual whose business is carried on those premises, and the nature of business carried on by the company, firm or individual on these premises. [No. 5 of 1974.]

15. Cessation of business and removal of name from register. (1) If any company, firm or individual whose business premises are registered under this Law- (a) ceases to carry on business; or (b) ceases to carry on business on the registered premises, it shall be the duty of the person who may sign a statement under section 7 or, if he is dead, his personal representative, within three months after the business ceases to be carried on or has ceased to be carried on, on the registered premises, as the case may be, to send by post or deliver to the Chief Commercial Officer notice as in Form 6 of the First Schedule of the cessation of business or the cessation of business on the registered premises, as the case may be, and the address of the new business premises. [No. 5 of 1974. Form 6. Schedule.] (2) Where the Chief Commercial Officer is satisfied that a company, firm or individual- (a) has ceased to carry on business; or (b) has ceased to carry on business on the registered business premises, he shall in the case of paragraph (a) remove the name of the company, firm or individual from the register and in the case of paragraph (b) substitute the new business premises for the registered premises.

16. Inspection of register and copies of entries in register. (1) Any person may, at all reasonable times, inspect the register or documents filed by the Chief Commercial Officer on payment to the Chief Commercial Officer of the prescribed fee. [No. 5 of 1974.] (2) The Chief Commercial Officer shall upon the request of, and upon the payment of the prescribed fee, by a person to whom a certificate has been issued under section 12, issue to such person a copy of that certificate, or an extract thereof, certified under the hand of the Chief Commercial Officer. (3) The Chief Commercial Officer shall give a certified copy of an entity in the register or of any filed document, other than a certificate, to any person applying therefor on paying the prescribed fee. (4) A certified copy of the certificate or any entry in the register or of any filed document; shall in all legal proceedings whether civil or criminal, be received in evidence without further or other proof.

17. Duty to furnish particulars. The Chief Commercial Officer may require any person to furnish him with such particulars as appear to him necessary for the purposes of this Law or for the purpose of ascertaining whether any business premises registrable under this Law, is registered, and if he is satisfied from any inquiries that any registrable business premises has not been registered, he shall proceed to require those premises to be registered in the manner provided by this Law. 18. Inspectors. (1) The Permanent Secretary may designate any persons in the Ministry of Trade and Industry to be inspectors for the purposes of this Law. [No. 1 of 1985.] (2) It shall be the duty of an inspector, within his area of operation- (a) to visit every registered business premises to ensure that the, provisions of this Law are being complied with and to report to the Chief Commercial Officer any contravention or disregard thereof; (b) to ascertain whether any business premises registrable under this Law is not registered and report to the Chief Commercial Officer the existence of such premises and the fact that it has not been registered; (c) to parry out such other duties as the Chief Commercial Officer or the Permanent Secretary may assign to him.

19. Powers of inspectors. (1) An inspector may at all reasonable times during the hours of 7 o?'clock in the morning and 6 o?'clock in the evening enter upon any business premises in the course of the performance of his duties under this Law. [No. 1 of 1985.] (2) Every inspector shall have the power to lock up, seal or otherwise do anything necessary to prevent the continued commission of the offence: Provided that whatever was done shall be for a period of three months in the first instance and for further periods of three months subject to a maximum of twelve months.

20. Identity of inspectors. (1) An inspector shall at all times, in the course of his lawful duties, carry his certificate of identity which shall be in the form prescribed in the Third Schedule and shall be signed by the Permanent Secretary. [Third Schedule.] (2) The production by the inspector of his certificate of identity shall for all purposes be sufficient evidence of the authority of the inspector.

21. Offences. (1) (a) If any company, firm or individual whose business premises is required to be registered under this Law fails or neglects to register such premises in the manner and within the time specified by this Law, the company or every partner in the firm or the individual as the case may be, shall be guilty of an offence and liable on conviction to a fine of ten thousand naira and thereafter shall be liable to a fine of one hundred naira for every day that the default continues until the premises is registered. [No. 1 of 1985.] (b) If any person required by the Registrar to furnish any particulars under section 17 refuses or fails to furnish the particulars or fails to furnish them within the time or in the manner specified by the Registrar, he shall be guilty of an offence and liable on conviction to a fine of two thousand naira. (c) If any company, firm or individual fails or neglects to notify the Registrar of- (i) a cessation to carry on business; or (ii) a cessation to carry on business on any premises, then every person required under section 15 to notify the Registrar of such cessation shall be guilty of an offence and liable on conviction to a fine of two thousand naira. (d) If any statement required to be furnished under this Law contains any matter which is false to the knowledge of the person signing it, that person shall be guilty of an offence and liable on conviction to a fine of five thousand naira or to a term of imprisonment for a period of six months or to both such fine and imprisonment. (2) Any person who, with intent to defraud, alters, erases or mutilates a certificate issued under this Law shall be guilty of an offence and liable on conviction to a fine of five thousand naira. (3) Any person who personates the holder of a certificate issued under this Law shall be guilty of an offence and liable on conviction to à fine of five thousand naira. (4) The court convicting any company or person under this section may, in addition to any penalty which it is empowered to impose, order the company or the person to do or to refrain from doing anything under this Law which the company or the person has failed or refused or neglected to do or has persisted in doing in contravention of any provisions of this Law.

22. Regulations. The Governor may make regulations prescribing all matters which by this Law are required or authorised to be prescribed, including fees for registration under this Law, or which are necessary or convenient for giving effect to the provisions of this Law.

23. Fees. Until any regulations are made under section 22 prescribing otherwise, there shall be paid annually, for the registration or renewal of registration of business premises registrable under this Law and classified therein, the fees set out in the Fourth Schedule.

24. Prosecution of cases. (1) The Revenue Court and every Magistrate?s Court in the State shall have jurisdiction to deal with any matter under this Law. [No. 1 of 1985.] (2) Every action in connection with any matter under this Law shall he instituted by and in the name of the Chief Commercial Officer.

25. Registration of social clubs. (1) All social clubs operating in the State shall be registered with the Ministry of Information and Social Welfare within the period stipulated in subsection (6) of this section. [No. 7 of 1985.] (2) Conditions for Registration.- To qualify for registration under this Law, a club must- (a) have a name by which it is known; (b) have a constitution; (c) have been in existence for a period of one year; and (d) be non-political. (3) Manner of Registration.- Every club which is required to be registered under this Law shall apply in writing as prescribed in Form 1 in the Fifth Schedule to this Law. (4) The application, which should be signed by the Chairman or the President or the Secretary of the club making the application, shall be made by registered post or by delivering, it by hand to the Permanent Secretary at his office in Asaba or the liaison office of the State. (5) Issuance of Form for Completion.- The Permanent Secretary shall on receipt of the application made pursuant to section 25 (3) above and on payment by the applicant of the prescribed fees as set out in the Fourth Schedule to this Law, issue the applicant with Form 1 for completion. (6) Time for registration.- An application under this Law shall be made within twenty-eight days from the date of commencement of this Law.

26. Certificate of registration. (1) On the receipt of the completed application form (Form 1) and on the payment of the fee prescribed in the Fourth Schedule to this Law, the Permanent Secretary shall issue under his hand a certificate of registration to the applicant. (2) The certificate, which should be in the form prescribed in the Sixth Schedule to this Law, shall be renewed annually. (3) A duplicate copy or counterpart of the certificate issued under subsection (1) of this section shall be kept in the office of the Permanent Secretary. (4) The Permanent Secretary may upon the request in writing by any person and upon the payment of a prescribed fee issue to the club- (a) a certified true copy of a certificate of registration, the original of which had been issued to the club; or (b) a certified true copy of an application for registration made by the club making the request. (5) The renewal of the certificate of registration shall be effected as soon as the original certificate expires and the renewed certificate shall be in the form prescribed in the Third Schedule to this Law. (6) Certificate as evidence of registration.- A certificate issued in accordance with the provisions of this Law shall be prima facie evidence that the club to which it relates is duly registered under this Law.

27. Change in registered particulars. (1) Whenever a change occurs in any of the particulars contained in Form 1 of the Fifth Schedule to this Law, the club, through its officers, shall within fourteen days after the occurrence of such a change, furnish the Permanent Secretary with the nature and date of the change. (2) The statement specifying the change, which should be in writing as in Form 2 of the Fifth Schedule to this Law, shall be signed by the Chairman or the President or the Secretary of the club.

28. Offences. (1) If any club which is required to be registered under this Law fails or neglects or refuses to register in the manner and within the time specified by this Law, the club shall be guilty of an offence and liable on conviction to a fine of two thousand naira and thereafter shall be liable to a fine of one hundred naira every day that the default continues. (2) If any information required to be furnished under this Law contains any matter which is false to the knowledge of the person signing it, that person shall be guilty of an offence and liable on conviction to a fine of two thousand naira tor to a term of imprisonment for four months or to both such fine and imprisonment. (3) Any registered club which contravenes the provisions of section 28 of this Law shall be guilty of an offence and liable on conviction to a fine of two thousand naira. (4) Any person who, with intent to defraud, alters or erases or mutilates a certificate issued under this Law, shall be guilty of an offence and liable on conviction to a fine of four thousand naira or to a term of imprisonment for six months or to both such fine and imprisonment. (5) The court convicting any person under this Law may in addition to any penalty which it is empowered to impose, order the club or person to do or to refrain from doing anything under this Law which it or he has failed or refused or neglected to do in contravention of any provisions of this Law.

29. Power to make regulations. The appropriate authority may make regulations for carrying the purposes and provisions of this Law into effect.

30. Fees. Until any regulations are made by the appropriate authority under the provisions of section 29 of this Law prescribing otherwise, there shall be paid annually for the registration or renewal of a certificate of registration of a club registrable under this Law, the fees set forth in the fourth Schedule to this Law.
